Little Scientists LLC (referred to as "Company," "We," or "Us") operates this website and platform (together referred to as the “Platform”) to offer online tutoring services in STEM subjects, including Science and Math, for children in grades 1-8

These terms and conditions ("Terms") outline the terms under which the Company grants users access to the Platform (hereafter referred to as “Services”). The Terms should be read together with our Privacy Policy. Anyone under the age of 18 is considered a minor ("Child") and requires parental consent to use the Platform. Parents of the Child, or any users above 18 years of age, are referred to as “you,” “your,” or “yours.” The term “Users” encompasses both you and the Child. Additionally, Users also include individuals who access, browse, or sign up on the Platform as applicants for teaching roles (“Applicant(s)”) or those selected to teach on the Platform (“Instructor(s)”).

The Company reserves the right to modify, change, add, or remove portions of these Terms at any time. Any changes will be posted on the Platform. Continued use of the Platform after the changes constitutes acceptance of the revised Terms. Additional terms, guidelines, or rules related to specific services or promotional offers may apply and are incorporated into these Terms by reference.

1.Terms of Service

By visiting the Platform or using any Services offered by the Company, you agree to be bound by these Terms. Please read this information carefully. If you are a parent or guardian and provide consent for your child’s use of the Platform, you agree to these Terms on behalf of your child. Continued use of the Platform signifies your agreement to these Terms. If you do not agree, please stop accessing the Platform immediately.

2. Description of Services

Little Scientists LLC facilitates online STEM education for children through virtual classrooms, providing a flexible learning environment that is accessible from anywhere at any time.

3. User ID and Password

To use the Platform and access services, you may need to create an account, which may require providing personal information such as (i) name, email address, and location, (ii) demographic information including gender, (iii) date of birth to verify the Child’s age, and (iv) parental email for consent verification.

You must be at least 18 years old to create an account on the Platform. If you are under 18, a parent or legal guardian must complete the registration. Your user ID and password (“Participant Account”) are for your exclusive use only. Sharing your account details with others is prohibited and may result in immediate termination of your access to the Platform and its services without notice.

You are responsible for maintaining the confidentiality of your Participant Account and for all activities that occur under it. You agree to notify the Company immediately if you suspect unauthorized use of your account and take steps to prevent further unauthorized activity. The Company will not be liable for any claims arising from unauthorized use or failure to maintain the security of your account.

4. Trial Classes

Little Scientists LLC offers one (2) free trial classes to new members to allow them to experience our services. Each new student is eligible for only two free trial classes per subject. Any attempt to avail multiple trial classes through different accounts, emails, or other methods without prior permission from the Company will be considered a breach of these Terms.

5. Modules and Curriculum

Little Scientists LLC provides structured learning modules, guiding students through levels of various subjects. Our trained instructors assist students with these modules. You will be given access to the content, materials, and curriculum, which may include video, audio, written, or other formats related to the modules you have registered for. The Company reserves the right to amend or update the curriculum at any time.

6. License to Use

The Company grants you and the Child a limited, non-transferable, non-exclusive, and revocable license to access, view, and use the Platform for the purposes of learning, accessing services, submitting user content, and accessing resources. This license is limited to personal, non-commercial use. Any rights not expressly granted in these Terms are reserved to the Company.

You are prohibited from reproducing, transmitting, distributing, sublicensing, or preparing derivative works of the curriculum or any other content provided to you.

7. Intellectual Property Rights

You acknowledge and agree that Little Scientists LLC LLC is the sole and exclusive owner of the Platform, the services provided, the curriculum, and all content on the Platform. The Company holds all intellectual property and proprietary rights related to the Platform, services, and curriculum. Furthermore, you agree that:

The Company has the right to record all classes, discussions, processes, events, conversations, and feedback related to user participation in any courses or programs, whether offered online or in any other format.
The Company holds exclusive worldwide rights to use, publish, display, transmit, broadcast, disseminate, market, advertise, license, modify, and create derivative works from any such recorded content through various mediums, including social media, websites, electronic or print media, news articles, blogs, etc., for any purpose.

You also agree and acknowledge that Little Scientists LLC may conduct events, contests, webinars, or award ceremonies related to its courses, which will be the exclusive property of the Company. During these events, the Company may create, record, and disseminate videos, audio recordings, images, testimonials, success stories, and other content related to users' experiences on the Platform. This content, along with any materials related to the events, will remain the exclusive property of the Company. You agree not to reproduce, share, or distribute any such content available on the Platform without prior written consent.

You further agree that:

You are solely responsible for any participation in events, including the authenticity and legality of any submissions. Any claims or objections arising from such content will be your responsibility, and you release Little Scientists LLC from any liabilities in this regard.
You irrevocably release Little Scientists LLC from any claim related to the use of class recordings, success stories, or events by the Company for advertising, marketing, or any other purpose.
You will not be entitled to any compensation for any promotional usage of class recordings, events, or success stories by the Company.

The Company retains all intellectual property rights (including copyrights, trademarks, patents, logos, trade dress, and trade secrets) for any information provided on or via the Platform, except for content or materials obtained from third-party providers. You may not copy, download, publish, or reproduce any of this content without the prior written consent of the Company.

Furthermore, Little Scientists LLC retains all rights to video and audio recordings, images, and other materials created during class sessions. You agree not to record, take screenshots, or reproduce any of the class materials (including trial classes) unless you have prior written approval from the Company. Any unauthorized recording or distribution of class content will be considered a breach of these Terms, and you will be liable under applicable laws.

8. Use of the Platform by Children

By agreeing to these Terms, you expressly acknowledge and warrant that:

You have the legal authority to enter into this agreement on behalf of your child.
You grant consent for your child to participate in classes, sessions, tests, and programs conducted on the Platform by Little Scientists LLC.
You agree to supervise your child’s participation in these activities and accept full responsibility for their actions, whether direct or indirect.

9. Payment and Refund Policy

The Platform is a paid service, and you agree to pay fees for the courses or plans you select. By enrolling in any of our services, you authorize Little Scientists LLC to charge your preferred payment method. All payments must be made through the designated payment mechanisms on the Platform, and you are responsible for ensuring timely payment of fees and applicable taxes.

We offer various payment options, including credit card, debit card, online bank transfer, and wallet payments. Payments processed through third-party payment gateways are subject to their respective terms and conditions, and by using these services, you agree to be bound by those terms. Little Scientists LLC is not liable for any unauthorized transactions, payment failures, or issues arising from third-party payment services.

Refund Policy:

All our subscriptions are auto-renewing by default. Customers can stop auto-renewal at any point before the next renewal. If a renewal goes through, and the card is charged, and then the customer wants to cancel the subscription for a refund, the following procedure will be followed:
- Customer needs to send a written request to info@thelittlescientists.com
- A prorated amount for the leftover classes will be refunded after a 3% transaction fee and a $25 administrative fee.
- We aim to process and complete refund requests within 7-10 business days after receiving your request. Our refund process may involve a call to you to gather feedback or confirm information required to process the refund.
- PLEASE NOTE: Discounts are given in exchange for committing to stay in the program for the prescribed duration. In the case of a refund, the prorated amount shall be calculated based on the original full program price only.
- Refunds are limited to the amount paid for services not rendered. In the case of a refund on EMI transactions, interest charged by the bank will still apply.

10. Linking

You or your child may create a link to external websites, provided that:

The link is legal, does not harm our reputation or take unfair advantage of it.
The link is not for advertising or promotional purposes unless expressly authorized by us.
The link is not from any website that promotes political or religious views or depicts intolerance, hate, discrimination, violence, pornography, or any illegal activity.
The link does not falsely suggest an association, approval, or endorsement by Little Scientists LLC of the linked website, its pages, or any content.

Framing of any part of our website or Platform on another website is not allowed, and you must not provide access to our site or any part of it under any other URL. We may revoke your or your child’s right to link to any external site without notice at any time and at our sole discretion.

Where the Platform contains links to other websites, resources, or mobile services owned by third parties, these are provided solely for your convenience and information. You access them at your own risk. Little Scientists LLC will not be responsible or liable for the content, privacy practices, or operations of any third-party websites or services.

11. Third-Party Services

You acknowledge that some of the services provided by Little Scientists LLC use or integrate third-party software, products, and services. The use of these third-party services is governed by their respective terms and conditions. Please review the terms and privacy policies for these third-party sites separately before using them. By accessing third-party services, you agree to be bound by their respective user agreements and policies. Little Scientists LLC is not responsible for any issues, errors, or malfunctions caused by third-party software, products, or services.

12. Third-Party Permissions

Little Scientists LLC may use various third-party service providers as part of its operations. By accepting these terms, you expressly grant permission to these third parties to use your information where necessary for service provision.

We do not share personal data with third parties for direct marketing purposes. However, we may share non-personal, anonymized, or aggregated information with third parties for research, development, analytics, or promotional purposes, but not for direct marketing.

In some instances, the third-party organizations we work with may be based outside of the country where the information is collected. When we share your information, we ensure these parties implement appropriate measures to protect your data and restrict how they can use it.

Little Scientists LLC will not be held liable in case of any dispute between you and a third party.

13. User Content

Little Scientists LLC allows users and children to submit, post, display, or share content, including but not limited to articles, comments, photographs, music, videos, audio recordings, computer graphics, suggestions, and personally identifiable information.

While we reserve the right to remove content at our discretion, subject to legal obligations, we may not monitor all submitted content. Therefore, the responsibility for content remains with the user. Little Scientists LLC does not encourage children to post personally identifiable information, and any consequences of such sharing will be the responsibility of the parent or guardian. You may request that we remove any personally identifiable content posted by your child by emailing us. We will review and respond after appropriate verification.

You warrant that any content submitted by you or your child, including content created during classes or otherwise shared on third-party platforms, will not:

Be misleading or falsely represent its origin or approvals.
Contain defamatory, plagiarized, offensive, harassing, hateful, obscene, or otherwise inappropriate material.
Breach confidentiality or violate another person's privacy or rights.
Interfere with any legal proceedings.
Criticize or accuse our personnel or other users without reasonable grounds.
Infringe on any intellectual property rights belonging to Little Scientists LLC or a third party.
Contain viruses, malware, or any harmful software that could affect the Platform or other users.
Advertise or promote products, services, or request donations without express permission.

You explicitly grant Little Scientists LLC the right to record, capture videos, take screenshots, and create audio recordings during classes for quality improvement or other purposes, as deemed necessary by the Company.

All rights to any user content created by your child while using the Platform, including content generated during class sessions or tutorials, shall automatically vest in Little Scientists LLC. By accepting these terms, you grant Little Scientists LLC a worldwide, royalty-free, perpetual license to use, modify, adapt, distribute, and publish any such content for any purpose, including promotional or commercial purposes.

You agree to use Little Scientists LLC Platform, and any third-party services or content accessed through the Platform solely for the purposes outlined in these Terms. Should you or your child misuse any content, services, or intellectual property beyond the authorized rights, you assume full responsibility for any resulting claims, damages, or losses, and agree to indemnify Little Scientists LLC accordingly.

Little Scientists LLC is not liable for any content posted, submitted, or shared by users. You and your child are solely responsible for ensuring that any content created or shared is free from bugs, viruses, and malware, and does not violate any third-party intellectual property rights or applicable laws, including data protection and privacy laws.

By uploading, submitting, or sharing content, you represent and warrant that:

You are the creator or have the necessary rights and permissions to submit the content.
Your content does not infringe on any third-party intellectual property or proprietary rights, including copyright, trademark, or privacy rights.
Your content does not contain defamatory, libelous, or malicious information that would violate another individual’s rights.

14. Intended Purpose of Use

Any application, code, or content created using Little Scientists LLC Platform is intended solely for educational purposes and to evaluate the practicality and validity of ideas. All such creations, including apps, codes, and content, are for learning and feedback collection by students. These materials are not meant for commercial use and should not be used beyond the educational scope. Any unauthorized use of such apps, codes, or content for purposes other than educational or evaluation purposes is strictly prohibited. The Company will not be liable for any misuse, and you agree to indemnify the Company for any claims, damages, or losses that may arise from such misuse.

15. Code of Conduct

Users of Little Scientists LLC Platform must comply with all applicable laws in the region where they access the services. If any legal restrictions apply, you are responsible for complying with those laws. If you cannot comply, you must stop accessing and using the services. All information you provide must be accurate, true, and complete.

In addition, you agree not to:

Attempt to hack, modify, decompile, reverse-engineer, or create derivative works from the Platform or any part of it, except where prohibited by applicable law.
Remove, modify, disable, or tamper with any copyright, trademark, or proprietary notices on the Platform.
Develop software that mimics or replicates data or functionality from the Platform.
Use or access the services for any purposes beyond what is permitted under these Terms.
Share contact details in any communications meant to enable contact outside of the Platform.
Use the Platform for sending unsolicited bulk email (spam).
Use the Platform for any public, business, or commercial purpose unless expressly permitted by the Company.
Provide hypertext links, URL links, or graphic links to the Platform for profit without express written permission.
Make any portion of the Platform available to any third party without authorization.
Use or manipulate the Platform for illegal or immoral purposes, including any attempts to obtain an unfair advantage over other users.

Access to the Platform is restricted to authorized servers, and any attempt to bypass security measures or modify the service with third-party software is prohibited.

16. Limited Liability

You are personally responsible for any violations of a third party’s rights caused by your or your child’s actions. You agree to compensate Little Scientists LLC for any damages resulting from non-compliance with these Terms. You release Little Scientists LLC from any claims made by other users or third parties as a result of your content or actions on the Platform. You will also cover all legal costs incurred by the Company for your non-compliance, except where you are not responsible for the infringement.

While Little Scientists LLC strives to provide accurate and valuable educational content, we do not guarantee the accuracy, completeness, or suitability of information or training provided by tutors on the Platform. The Company makes no warranty regarding the quality of lessons, and tutors’ performance may vary. If any tutor engages in inappropriate or unlawful behavior, such as using abusive or offensive language, sharing inappropriate content, or engaging in illegal activities, you must notify the Company immediately. The Company will take appropriate actions as required by law but disclaims liability for such incidents.

The Company is not responsible for any unethical or illegal actions performed by a child as a result of advice given by a tutor. It is your responsibility as a parent or guardian to supervise and monitor your child’s activities on the Platform.

In no event will Little Scientists LLC be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, including but not limited to loss of data, revenue, or profits. The Company provides educational services on an “as is” basis and is only responsible for delivering services with reasonable care.

The total liability of Little Scientists LLC for any and all claims arising from your use of the Platform shall not exceed the total amount you have paid to the Company for services.

External websites that may be linked on the Platform have not been reviewed or verified by Little Scientists LLC, and you access them at your own risk. The Company does not warrant the accuracy or quality of content on third-party sites and will not be held responsible for transactions or interactions that occur on those sites.

The Company excludes liability for:

Any loss or damage arising from problems the Company was unaware of.
The accuracy or validity of information or communications within the Platform.
Interruptions, delays, or issues in updating the Platform.
Incorrect or inaccurate content on the Platform.
Infringement of intellectual property rights through the use of the Platform.
The availability, content, or quality of third-party websites.
Transactions or interactions involving third-party websites.
Any loss or damage caused by viruses or malicious software that infects a user’s device during the use of the Platform.

Little Scientists LLC does not guarantee uninterrupted or error-free operation of the Platform. The Company is not liable for any failure to perform obligations under these Terms if the failure is caused by factors outside of our control, such as internet outages, communication disruptions, natural disasters, or other unforeseen events.

Except as provided in these Terms, Little Scientists LLC disclaims all warranties and conditions, whether express or implied, statutory or otherwise, to the maximum extent permitted by law.

You agree to use the Platform responsibly and in accordance with all applicable laws. You are responsible for maintaining the confidentiality of your account credentials and for all actions that take place under your account.

No amendment to these Terms will be made if it substantially disrupts the contractual balance between the parties. You will be informed of any amendments via the Platform or by email notification.

17. Termination

Without limiting any other rights that Little Scientists LLC may have, we reserve the right to remove, restrict, cancel, or suspend your access to the Platform or any of its services, in whole or in part, if we believe, at our sole discretion, that you have violated any of these Terms.

You may terminate your agreement with the Company by discontinuing access to the Platform and deleting all copies of the service or content under your control. Termination will not affect any rights or remedies that have accrued up until the time of termination.

18. Severability

If any court or competent authority finds any provision (or part of any provision) of these Terms to be invalid, illegal, or unenforceable, that provision will be deemed deleted as necessary. The validity and enforceability of the remaining provisions of these Terms will not be affected.

29. Assignment

The rights and licenses granted to you under these Terms cannot be transferred or assigned by you to any third party. However, Little Scientists LLC may assign or transfer these rights at its sole discretion. Any attempt by you to transfer or assign your rights in violation of this section will be null and void.

20. Waiver

No waiver of any part of these Terms by the Company will be considered a continuing waiver of such terms or any other terms. The failure of the Company to assert any right or provision under these Terms will not constitute a waiver of that right or provision in the future.

21. Governing Laws and Jurisdiction

Any dispute or disagreement regarding the interpretation of these Terms or any other policies on the Platform shall be referred to an independent arbitrator, mutually appointed by both parties. The decision of the arbitrator will be final and binding on both parties.

Without prejudice to the arbitration provisions mentioned above, Little Scientists LLC reserves the right to seek interim or provisional relief, including injunctions, from any court of competent jurisdiction to protect its intellectual property, confidential information, or any other rights.

22. Entire Agreement

This Agreement, together with the Privacy Policy, Terms of Use, and any additional rules, guidelines, or disclaimers posted on the Platform, constitutes the entire agreement between you and Little Scientists LLC regarding your use of the Platform. This Agreement supersedes any prior agreements or understandings related to the subject matter herein.

23. SMS Disclosure

By providing your phone number and agreeing to the terms and conditions of The Little Scientists, you agree to receive text messages regarding account updates, class reminders, promotional offers, and important notifications.

Message Frequency: You may receive up to 2 messages per week, though this frequency may vary based on user activity and promotional updates.

Message & Data Rates: Standard message and data rates may apply depending on your mobile carrier.

HELP Information: You can text HELP to receive assistance regarding our SMS services.

STOP/Opt-Out: To stop receiving SMS messages, you may reply STOP at any time. This will immediately remove you from our SMS communication list.

By continuing to use our services and opting into SMS communications or agreeing to the Terms and Conditions of The Little Scientists, you acknowledge and agree to these terms.
